Welcome to Jot That ("Service," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of our note-taking web application and related services (collectively, the "Service"). These Terms affect your legal rights and obligations, so please read them carefully before using the service.
``By creating an account, subscribing to our service, or otherwise accessing or using any part of the Service, you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Service or use any services. Your continued use of the Service constitutes acceptance of these Terms.
Jot That provides an online note-taking platform that allows users to create, organize, and manage their notes securely. Key features include: online note-taking; automatic daily backups; encoded user backup & restore; two-click note download; and secure cloud storage and synchronization across devices.
To access the Service, you must register for an account. You must provide us with information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.
The Service is billed on an annual subscription basis ("Subscription"). You will be billed in advance for a fixed term of one year, and your subscription will not automatically renew at the end of its term. At the end of your Billing Cycle, your Subscription will expire. If you wish to continue using the Service, you will need to manually renew your subscription by purchasing a new plan. We will notify you when your subscription is nearing its end so that you can choose to renew it.
You agree not to engage in any of the following prohibited activities: using the Service for any illegal or unauthorized purpose; uploading or transmitting any content that is unlawful, harmful, or otherwise objectionable; interfering with the integrity or performance of the Service; attempting to gain unauthorized access to the Service; or any activity that violates the privacy rights of others.
The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Jot That and its licensors. You retain ownership of the notes and content you create within the Service. However, by using the Service, you grant Jot That a limited, non-exclusive, worldwide, royalty-free license to host, store, and process your content solely for the purpose of providing and improving the Service to you. You are responsible for the Content that you post on or through the Service, including its legality, reliability, and appropriateness.
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Jot That makes no warranties, expressed or implied, regarding the operation or availability of the Service. You expressly agree that your use of the Service is at your sole risk.
In no event shall Jot That, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits or data, resulting from your access to or use of the Service, any conduct of a third party on the Service, or unauthorized access, use or alteration of your content.
You agree to defend, indemnify and hold harmless Jot That and its licensees and licensors from and against any and all claims, damages, obligations, losses, and expenses (including but not limited to attorney's fees) resulting from or arising out of a) your use and access of the Service; b) a breach of these Terms; or c) Content posted on the Service.
These Terms shall be governed and construed in accordance with the laws of Wyoming, United States, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
